Buying into, selling or restructuring a GFSO Licensed Firm triggers controller rules that require prior written approval or notification, and completing before the approval arrives is itself a contravention. Basnet Law advises acquirers, sellers and the firm itself on the thresholds, the application and the timetable under the GEN Rulebook 2026 and the Financial Services Act 2025. This page explains who counts as a Controller, when approval is needed, how long the Regulator has and what we do at each stage.
Our legal advisory
- Determine whether a person is or will become a "Controller" under the GEN Rulebook 2026, including the significant-influence limb and the holdings that are disregarded.
- Identify whether the transaction crosses the 20% or 50% thresholds that require prior written approval for a Domestic Firm.
- Advise on the controller application in the prescribed form with the supporting documents the Regulator requires.
- Advise on the 90-day review period and any representations following an objection or a conditional approval notice.
- Advise on decrease notifications for Domestic Firms, the notification-only regime for Branches and the close links rules.
- Draft the conditions precedent and regulatory covenants in the share purchase or subscription agreement so completion falls within the approval's one-year validity.
How GMC change of control approval works, in plain terms
The Financial Services Act 2025 empowers the Regulator to make Rules on "when a person becomes or ceases to be a Controller" and when a change in control "requires either the prior approval of, or notification to, the Regulator". The Act confirms that the Regulator may approve or object to a person becoming a Controller or increasing control, and may impose conditions.
The GEN Rulebook 2026 defines a Controller as a person who, alone or with any Associate, holds 10% or more of the shares or voting rights in the Licensed Firm or a Holding Company of it, or "is able to exercise significant influence over the management of the Licensed Firm" through shares, voting rights or a current right to acquire them. The guidance notes that significant influence can exist below 10%, for example through options.
For a Domestic Firm, a person "must not become a Controller" or increase control from below 20% to 20% or more, or from below 50% to 50% or more, without the Regulator's prior written approval. The Regulator may approve, approve with conditions or object, and must decide within 90 days of a duly completed application. An approval is valid for one year unless extended. Completing before approval, or after it lapses, is a contravention of the Rulebook and engages the Regulator's enforcement powers under the Act. An unacceptable Controller must not proceed and may be required to dispose of holdings under a restriction notice.
The firm has its own duties. It must monitor changes in its Controllers and notify the Regulator as soon as possible, and file an annual report on its Controllers within four months of financial year end. Separately, the Regulator must be satisfied that any Close Links "are not likely to prevent the effective supervision" of the firm.

Frequently asked questions
At what shareholding does someone become a Controller?
At 10% of the shares or voting rights in the Licensed Firm or its Holding Company, alone or with Associates, or at any level where the person can exercise significant influence over management, under the GEN Rulebook 2026.
When is prior approval required?
For a Domestic Firm, when a person first becomes a Controller, or increases a holding from below 20% to 20% or more, or from below 50% to 50% or more. Branches are subject to notification only.
How long does the Regulator take?
The GEN Rulebook 2026 requires a decision within 90 days of receipt of a duly completed application. The period runs from the date all required information is provided, so we advise on making the application complete when it goes in.
What if we complete before approval?
That is a contravention of the Rulebook. The Regulator may object to the person as a Controller and, ultimately, require disposal of the holding. We draft the deal so that completion cannot happen before approval.
